1. Parties
This Driver Partner Agreement ("Agreement") is entered into between:
- Transportbidder S.A.C. ("Company"), a company incorporated under the laws of Peru, with registered address in Lima, Peru; and
- You ("Driver Partner," "Driver," or "you"), an individual who registers to provide transportation services through the Transportbidder Driver Application.
By registering on the Driver App and accepting this Agreement, you enter into a legally binding contract with the Company. This Agreement is governed by the laws of the Republic of Peru.
2. Nature of Relationship
INDEPENDENT CONTRACTOR — NOT AN EMPLOYEE
This Agreement establishes an independent contractor relationship between you and the Company. You acknowledge and agree that:
- You are an independent contractor and NOT an employee, worker, agent, partner, or franchisee of Transportbidder
- No employment relationship, agency, partnership, or joint venture is created by this Agreement
- Transportbidder does NOT exercise control over the manner, means, or methods of your transportation services
- You are free to set your own working hours — there are no minimum hours, mandatory schedules, or exclusivity requirements
- You may provide services on competing platforms simultaneously
- You are responsible for all costs of operating your vehicle (fuel, maintenance, insurance, registration, repairs, depreciation)
- You are responsible for your own taxes, social security (ONP/AFP), and regulatory compliance
- Transportbidder does NOT provide employee benefits (health insurance, CTS, gratificaciones, vacaciones, pension contributions, or any other labor benefit under Peruvian law)
3. Eligibility and Onboarding
3.1 Requirements
To be eligible as a Driver Partner, you must maintain throughout the term of this Agreement:
- Minimum age: 18 years
- Valid Peruvian DNI (Documento Nacional de Identidad)
- Valid Peruvian driver's license (Licencia de Conducir) of the appropriate category for the vehicle operated
- Clean or acceptable criminal background (Certificado de Antecedentes Penales)
- Vehicle registered in your name or with documented authorization from the registered owner
- Valid SOAT (Seguro Obligatorio de Accidentes de Transito) for the vehicle
- Valid Tarjeta de Propiedad (vehicle registration certificate)
- Vehicle in safe, roadworthy condition meeting minimum standards set by the Company
- Smartphone with GPS capability and data plan sufficient to run the Driver App
3.2 Verification Process
You must submit the following documents through the Driver App for verification:
- DNI — front and back photographs
- Selfie photograph for identity matching
- Driver's license — front and back, with number and expiry dates
- Criminal background certificate (must be recently issued)
- Tarjeta de Propiedad — vehicle registration
- SOAT certificate — with policy number and expiry date
- Vehicle photographs (exterior)
The Company will review submitted documents within 1-3 business days. Approval or rejection is at the Company's sole discretion. Submitting fraudulent, altered, or falsified documents is grounds for permanent rejection and may constitute a criminal offense under Peruvian law (Codigo Penal, Art. 427 — Falsificacion de Documentos).
3.3 Document Renewal
You are responsible for keeping all documents current. Expired documents will result in automatic suspension of your Online access. You must upload renewed documents promptly.
4. Use of the Platform
4.1 License Grant
The Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Driver App solely for the purpose of receiving and fulfilling ride requests from Passengers through the Platform.
4.2 Going Online
To receive ride requests, you must:
- Have an approved verification status
- Have a positive wallet balance (sufficient to cover at least one Platform Fee)
- Have valid, non-expired SOAT coverage
- Grant location permissions to the Driver App
- Toggle your status to "Online" in the app
4.3 Ride Acceptance
- You are NOT obligated to accept any ride request
- You may accept the Passenger's offered fare, submit a counter-bid, or decline
- Once you accept a bid (or your bid is accepted by the Passenger), you are committed to providing the ride
- Cancelling after acceptance without legitimate reason may impact your rating and standing
5. Platform Fees and Payment
5.1 Platform Fee
- The Company charges a Platform Fee (commission) for each completed ride
- The Platform Fee is a percentage of the Accepted Fare, deducted automatically from your Wallet after ride completion
- The current Platform Fee rate is disclosed during registration and visible in the app
- The Company may adjust the Platform Fee with at least 15 calendar days' prior written notice (via email and in-app notification)
5.2 Wallet
- You must maintain a positive Wallet balance to operate Online
- Top up your Wallet through the payment methods available in the app
- Wallet balance is used exclusively for Platform Fee deductions
- Wallet balance is non-refundable except as required by applicable law or upon account closure with unused balance
5.3 Passenger Payments
- You collect the Accepted Fare directly from Passengers (currently cash payment)
- You must accept the Passenger's selected payment method
- You must NOT charge more than the Accepted Fare
- You must NOT solicit tips or additional payments
5.4 Taxes
You are solely responsible for:
- Registering with SUNAT (Superintendencia Nacional de Aduanas y de Administracion Tributaria) as appropriate for your income level
- Declaring all earnings from rides
- Paying applicable income tax (Impuesto a la Renta)
- Issuing receipts (boletas or facturas) if required by your tax regime
- Making social security contributions (ONP or AFP) if applicable
Transportbidder does NOT withhold, report, or pay taxes on your behalf. Transportbidder may provide you with annual earnings summaries for tax reference purposes.
6. Vehicle Requirements
- Your vehicle must be registered, insured (SOAT), and pass any required vehicular inspection (Revision Tecnica Vehicular)
- All safety features must be functional: seatbelts, lights (headlights, brake lights, turn signals), mirrors, horn, windshield wipers, brakes
- Vehicle must be clean, well-maintained, and free of offensive odors
- Air conditioning/heating must be functional
- Only the vehicle registered in your Driver App profile may be used for rides
- You must not make unauthorized modifications that affect passenger safety
7. Insurance
- You must maintain valid SOAT coverage at all times when using the Platform
- If your SOAT expires, your Online access is automatically suspended until renewed
- You are encouraged (but not required by this Agreement) to carry additional comprehensive vehicle insurance
- Transportbidder does NOT provide insurance coverage for you, your vehicle, or your passengers
- You bear full liability for any accidents, injuries, or property damage arising from your transportation services
8. Driver Obligations
- Obey all applicable traffic laws, regulations, and speed limits
- Never drive under the influence of alcohol, drugs, or impairing substances
- Carry your driver's license at all times while driving
- Treat all Passengers with respect, courtesy, and professionalism
- Do not discriminate against Passengers on any basis
- Follow the agreed route unless the Passenger requests a change
- Enter the Passenger's OTP to start the ride — do not start without OTP verification
- Maintain real-time location sharing while on a ride (do not disable GPS)
- Do not record audio or video of Passengers without their express consent
- Do not share Passenger personal data with third parties
- Report any accidents, incidents, or safety concerns to the Company promptly
- Comply with the Company's Community Guidelines and Fair Use Policy
9. Suspension and Termination
9.1 Suspension by Company
The Company may temporarily suspend your access for:
- Expired documents (automatic until renewed)
- Zero wallet balance (Online access only)
- Pending investigation of complaints
- Violation of Fair Use Policy or Community Guidelines
9.2 Termination by Company
The Company may permanently terminate this Agreement for:
- Submission of fraudulent documents
- Violence or assault against Passengers
- Sexual misconduct
- Driving under the influence
- Criminal activity using the Platform
- Repeated serious violations after warnings
- Any material breach of this Agreement
9.3 Termination by Driver
You may terminate this Agreement at any time by deleting your account through the app, website, or by emailing privacy@transportbidder.com. No notice period is required. Any remaining positive wallet balance should be utilized before account closure.
9.4 Effects of Termination
- Your access to the Driver App will be revoked
- Your personal data will be handled per our Privacy Policy
- Verification documents will be deleted within 30 days
- Any outstanding Platform Fee obligations remain payable
- Sections regarding liability, indemnification, and governing law survive termination
9.5 Appeal
You may appeal termination decisions within 15 days to appeals@transportbidder.com. Appeals reviewed within 10 business days.
10. Liability and Indemnification
10.1 Driver Liability
As an independent contractor, you are personally and fully liable for:
- All traffic violations and fines incurred while operating
- Any accidents, injuries, or deaths occurring during or related to rides
- Damage to Passenger property or your own vehicle
- Claims from third parties arising from your driving or conduct
- Any regulatory penalties for non-compliance with transport laws
10.2 Company Limitation
Transportbidder's liability is limited to providing the technology platform. The Company is NOT liable for: your earnings, lost ride opportunities, vehicle costs, accidents, injuries, or any consequential damages. Maximum aggregate liability is limited to Platform Fees paid by you in the preceding 12 months.
10.3 Indemnification
You agree to indemnify, defend, and hold harmless the Company from all claims, damages, losses, and expenses arising from your transportation services, your violation of this Agreement or applicable law, or any dispute between you and a Passenger.
11. Confidentiality
- You must keep all Passenger personal data confidential
- You must not share ride details, Passenger information, or platform business information with third parties
- You must not use Passenger contact information obtained through the Platform for any purpose other than completing the ride
- After a ride is completed, you must not contact the Passenger through non-platform channels
12. Intellectual Property
All rights in the Platform, Driver App, trademarks, and content remain with the Company. Your license is limited to using the Driver App for providing rides. You may not use the Transportbidder brand for personal marketing without written permission.
13. Dispute Resolution
- Internal: Contact support@transportbidder.com for ride or account disputes
- Mediation: Good-faith mediation at a center recognized by Peru's Ministry of Justice
- Arbitration: If unresolved in 30 days, binding arbitration at the Lima Chamber of Commerce, in Spanish, seated in Lima
- You retain the right to file complaints with INDECOPI, ANPD, or transport authorities
14. Governing Law
This Agreement is governed by the laws of Peru. The Spanish version prevails in case of discrepancy.
15. Amendments
The Company may amend this Agreement with 15 days' prior notice. Continued use after the effective date constitutes acceptance. If you disagree, you must terminate your account.

1. Partes
Este Acuerdo de Socio Conductor ("Acuerdo") se celebra entre:
- Transportbidder S.A.C. ("Empresa"), sociedad constituida bajo las leyes del Peru, con domicilio en Lima, Peru; y
- Usted ("Socio Conductor," "Conductor," o "usted"), persona natural que se registra para prestar servicios de transporte a traves de la Aplicacion de Conductor de Transportbidder.
Al registrarse en la App de Conductor y aceptar este Acuerdo, usted celebra un contrato legalmente vinculante con la Empresa. Este Acuerdo se rige por las leyes de la Republica del Peru.
2. Naturaleza de la Relacion
CONTRATISTA INDEPENDIENTE — NO ES EMPLEADO
Este Acuerdo establece una relacion de contratista independiente. Usted reconoce y acepta que:
- Es un contratista independiente y NO un empleado, trabajador, agente, socio ni franquiciado de Transportbidder
- No se crea ninguna relacion laboral, de agencia, sociedad ni empresa conjunta
- Transportbidder NO ejerce control sobre la manera, medios ni metodos de sus servicios de transporte
- Es libre de establecer sus propios horarios — no hay horas minimas, horarios obligatorios ni requisitos de exclusividad
- Puede prestar servicios en plataformas competidoras simultaneamente
- Es responsable de todos los costos de operacion de su vehiculo (combustible, mantenimiento, seguro, registro, reparaciones, depreciacion)
- Es responsable de sus propios impuestos, seguridad social (ONP/AFP) y cumplimiento regulatorio
- Transportbidder NO proporciona beneficios laborales (seguro de salud, CTS, gratificaciones, vacaciones, aportes de pension ni ningun otro beneficio laboral bajo la ley peruana)
3. Elegibilidad e Incorporacion
3.1 Requisitos
Para ser elegible como Socio Conductor, debe mantener durante la vigencia de este Acuerdo:
- Edad minima: 18 anos
- DNI peruano vigente
- Licencia de Conducir peruana vigente de la categoria apropiada
- Antecedentes penales limpios o aceptables
- Vehiculo registrado a su nombre o con autorizacion documentada del propietario registrado
- SOAT vigente para el vehiculo
- Tarjeta de Propiedad vigente
- Vehiculo en condiciones seguras que cumpla con los estandares minimos
- Smartphone con GPS y plan de datos suficiente para la App
3.2 Proceso de Verificacion
Debe enviar los siguientes documentos a traves de la App para verificacion:
- DNI — fotografias de anverso y reverso
- Fotografia selfie para verificacion de identidad
- Licencia de conducir — anverso y reverso, con numero y fechas de vencimiento
- Certificado de antecedentes penales (emision reciente)
- Tarjeta de Propiedad del vehiculo
- Certificado SOAT — con numero de poliza y fecha de vencimiento
- Fotografias del vehiculo (exterior)
La Empresa revisara los documentos dentro de 1-3 dias habiles. La aprobacion o rechazo es a discrecion exclusiva de la Empresa. Presentar documentos fraudulentos, alterados o falsificados es motivo de rechazo permanente y puede constituir delito bajo la ley peruana (Codigo Penal, Art. 427 — Falsificacion de Documentos).
3.3 Renovacion de Documentos
Es responsable de mantener todos los documentos vigentes. Los documentos vencidos resultan en suspension automatica del acceso En Linea. Debe subir documentos renovados prontamente.
4. Uso de la Plataforma
4.1 Licencia
La Empresa le otorga una licencia limitada, no exclusiva, intransferible y revocable para acceder y usar la App de Conductor unicamente para recibir y cumplir solicitudes de viaje de Pasajeros.
4.2 Ponerse En Linea
Para recibir solicitudes, debe:
- Tener verificacion aprobada
- Tener saldo positivo en billetera (suficiente para al menos una Comision)
- Tener SOAT vigente y no vencido
- Otorgar permisos de ubicacion a la App
- Cambiar su estado a "En Linea"
4.3 Aceptacion de Viajes
- NO esta obligado a aceptar ninguna solicitud
- Puede aceptar la tarifa ofrecida, enviar una contraoferta o rechazar
- Una vez aceptada una oferta, se compromete a realizar el viaje
- Cancelar despues de aceptar sin razon legitima puede afectar su calificacion
5. Comisiones y Pagos
5.1 Comision de Plataforma
- La Empresa cobra una Comision de Plataforma por cada viaje completado
- La Comision es un porcentaje de la Tarifa Aceptada, deducida automaticamente de su Billetera
- La tasa actual se divulga durante el registro y es visible en la app
- La Empresa puede ajustar la Comision con al menos 15 dias calendario de aviso previo escrito
5.2 Billetera
- Debe mantener saldo positivo para operar En Linea
- Recargue su Billetera a traves de los metodos disponibles en la app
- El saldo se usa exclusivamente para deducciones de Comision
- El saldo no es reembolsable excepto lo requerido por ley o al cerrar cuenta con saldo no utilizado
5.3 Pagos de Pasajeros
- Cobra la Tarifa Aceptada directamente de los Pasajeros (actualmente en efectivo)
- Debe aceptar el metodo de pago seleccionado por el Pasajero
- NO debe cobrar mas de la Tarifa Aceptada
- NO debe solicitar propinas ni pagos adicionales
5.4 Impuestos
Usted es el unico responsable de:
- Registrarse en SUNAT segun corresponda a su nivel de ingresos
- Declarar todas las ganancias de viajes
- Pagar el Impuesto a la Renta aplicable
- Emitir comprobantes (boletas o facturas) si su regimen tributario lo requiere
- Realizar aportes de seguridad social (ONP o AFP) si corresponde
Transportbidder NO retiene, reporta ni paga impuestos en su nombre. La Empresa puede proporcionarle resumenes anuales de ganancias como referencia tributaria.
6. Requisitos del Vehiculo
- Su vehiculo debe estar registrado, asegurado (SOAT) y pasar la Revision Tecnica Vehicular si aplica
- Todas las funciones de seguridad deben funcionar: cinturones, luces, espejos, bocina, limpiaparabrisas, frenos
- Vehiculo limpio, bien mantenido y sin olores ofensivos
- Aire acondicionado/calefaccion funcional
- Solo el vehiculo registrado en su perfil puede usarse para viajes
- No debe realizar modificaciones no autorizadas que afecten la seguridad del pasajero
7. Seguro
- Debe mantener SOAT vigente en todo momento al usar la Plataforma
- Si el SOAT vence, su acceso En Linea se suspende automaticamente
- Se le recomienda (pero no se le requiere por este Acuerdo) contratar seguro vehicular adicional
- Transportbidder NO proporciona cobertura de seguro para usted, su vehiculo ni sus pasajeros
- Asume toda la responsabilidad por accidentes, lesiones o danos a propiedad
8. Obligaciones del Conductor
- Obedecer todas las leyes de transito, regulaciones y limites de velocidad
- Nunca conducir bajo influencia de alcohol, drogas o sustancias
- Portar licencia de conducir vigente en todo momento
- Tratar a todos los Pasajeros con respeto, cortesia y profesionalismo
- No discriminar a Pasajeros por ninguna razon
- Seguir la ruta acordada salvo que el Pasajero solicite cambio
- Ingresar el OTP del Pasajero para iniciar — no iniciar sin verificacion OTP
- Mantener ubicacion en tiempo real activa durante el viaje (no desactivar GPS)
- No grabar audio o video de Pasajeros sin su consentimiento expreso
- No compartir datos personales de Pasajeros con terceros
- Reportar accidentes, incidentes o preocupaciones de seguridad a la Empresa prontamente
- Cumplir con las Guias de la Comunidad y la Politica de Uso Justo
9. Suspension y Terminacion
9.1 Suspension por la Empresa
- Documentos vencidos (automatica hasta renovacion)
- Saldo de billetera en cero (solo acceso En Linea)
- Investigacion pendiente de quejas
- Violacion de Politica de Uso Justo o Guias de la Comunidad
9.2 Terminacion por la Empresa
- Documentos fraudulentos
- Violencia o agresion contra Pasajeros
- Conducta sexual indebida
- Conduccion bajo influencia
- Actividad criminal usando la Plataforma
- Violaciones serias repetidas despues de advertencias
- Cualquier incumplimiento material de este Acuerdo
9.3 Terminacion por el Conductor
Puede terminar este Acuerdo en cualquier momento eliminando su cuenta via la app, sitio web o correo a privacy@transportbidder.com. No se requiere periodo de aviso. Cualquier saldo positivo remanente debe utilizarse antes del cierre.
9.4 Efectos de la Terminacion
- Se revocara su acceso a la App de Conductor
- Sus datos personales se manejan segun nuestra Politica de Privacidad
- Los documentos de verificacion se eliminan dentro de 30 dias
- Las obligaciones pendientes de Comision permanecen pagaderas
- Las secciones sobre responsabilidad, indemnizacion y ley aplicable sobreviven la terminacion
9.5 Apelacion
Puede apelar decisiones de terminacion dentro de 15 dias a appeals@transportbidder.com. Apelaciones revisadas en 10 dias habiles.
10. Responsabilidad e Indemnizacion
10.1 Responsabilidad del Conductor
Como contratista independiente, es personal y plenamente responsable de:
- Todas las infracciones de transito y multas
- Accidentes, lesiones o muertes durante o relacionados con viajes
- Danos a propiedad de Pasajeros o su propio vehiculo
- Reclamos de terceros por su conduccion o conducta
- Sanciones regulatorias por incumplimiento de leyes de transporte
10.2 Limitacion de la Empresa
La responsabilidad de Transportbidder se limita a proporcionar la plataforma tecnologica. La responsabilidad maxima agregada se limita a las Comisiones pagadas en los ultimos 12 meses.
10.3 Indemnizacion
Acepta indemnizar, defender y mantener indemne a la Empresa de todo reclamo, dano, perdida y gasto derivado de sus servicios de transporte, violacion de este Acuerdo o ley aplicable, o disputa con un Pasajero.
11. Confidencialidad
- Debe mantener todos los datos personales de Pasajeros como confidenciales
- No debe compartir detalles de viaje, informacion de Pasajeros ni informacion comercial de la plataforma con terceros
- No debe usar informacion de contacto de Pasajeros obtenida a traves de la Plataforma para ningun proposito ajeno al viaje
- Despues de completar un viaje, no debe contactar al Pasajero por canales externos
12. Propiedad Intelectual
Todos los derechos sobre la Plataforma, App de Conductor, marcas y contenido permanecen con la Empresa. Su licencia se limita a usar la App para prestar servicios de transporte. No puede usar la marca Transportbidder para marketing personal sin permiso escrito.
13. Resolucion de Disputas
- Interno: Contacte support@transportbidder.com para disputas de viaje o cuenta
- Mediacion: Mediacion de buena fe en un centro reconocido por el Ministerio de Justicia
- Arbitraje: Si no se resuelve en 30 dias, arbitraje vinculante en la Camara de Comercio de Lima, en espanol, con sede en Lima
- Conserva el derecho a presentar reclamos ante INDECOPI, ANPD o autoridades de transporte
14. Ley Aplicable
Este Acuerdo se rige por las leyes del Peru. La version en espanol prevalece en caso de discrepancia.
15. Modificaciones
La Empresa puede modificar este Acuerdo con 15 dias de aviso previo. El uso continuado despues de la fecha efectiva constituye aceptacion. Si no esta de acuerdo, debe terminar su cuenta.
